1. Acceptance of Terms

3. Client Responsibilities

• Make payments according to the schedule outlined in your service agreement.

4. Intellectual Property

Upon receipt of final payment, Ai Guys LLC transfers ownership of all custom-developed website code and design assets to the client. We retain the right to display completed work in our portfolio unless otherwise agreed in writing. Pre-existing tools, frameworks, libraries, and methodologies used in the delivery of services remain the property of Ai Guys LLC or their respective owners.

5. Payment Terms

Payment terms are defined in your individual service agreement or Statement of Work. Generally, projects require a deposit before work begins, with the balance due upon completion or at milestones specified in the agreement. Late payments may result in paused work. All fees are non-refundable once work has commenced unless otherwise specified in writing.

6. Hosting and Maintenance

For clients on monthly hosting and maintenance plans:

• Services renew monthly and may be cancelled with 30 days written notice.
• We will make reasonable efforts to maintain uptime and security, but do not guarantee 100% availability.
• Maintenance includes routine updates and backups as outlined in your service plan.
• Significant new features or redesigns are outside the scope of maintenance and will be quoted separately.

7. Limitation of Liability

To the fullest extent permitted by law, Ai Guys LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website. Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim in the three months preceding the claim.

8. Disclaimer of Warranties

Our services are provided "as is." We make reasonable efforts to deliver high-quality work, but we do not warrant that our services will meet every specific requirement or that results (such as search rankings or conversion rates) are guaranteed. Digital marketing and SEO outcomes depend on many factors outside our control, including search engine algorithm changes and market conditions.

9. Third-Party Services

Our services may involve integration with or recommendation of third-party platforms (e.g., hosting providers, CRM tools, advertising platforms). We are not responsible for the performance, availability, or terms of these third-party services. Your use of third-party services is governed by their respective terms and policies.

10. Termination

Either party may terminate a service engagement as outlined in the applicable service agreement. Upon termination, you are responsible for any fees incurred for work completed to that point. We reserve the right to terminate services immediately if you violate these Terms of Service or engage in conduct that is harmful, unlawful, or damaging to Ai Guys LLC or its clients.

11. Governing Law

These Terms of Service are governed by the laws of the Commonwealth of Virginia, United States. Any disputes arising from these terms or our services shall be resolved in the courts of Richmond, Virginia.
